Acceptance of Terms

By accessing or using AIVA Connect ("we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use our Services.

These Terms constitute a legally binding agreement between you and AIVA Connect. Please read them carefully.

Service Description

AIVA Connect provides AI-powered receptionist services for businesses, including:

  • Automated call answering and routing
  • AI voice interactions and transcription
  • VIP contact management
  • SMS/text message handling
  • Call recording and analytics
  • Integration with business phone systems

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time.

Account Requirements

Eligibility

You must meet the following requirements to use our Services:

  • Be at least 18 years old
  • Use the service for lawful business purposes
  • Provide accurate and complete registration information
  • Maintain the security of your account credentials

Account Security

You are responsible for:

  • Maintaining the confidentiality of your password
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use

Prohibited Uses

You may NOT use the Services to:

  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Send spam, malware, or malicious content
  • Harass, abuse, or harm others
  • Impersonate any person or entity
  • Interfere with or disrupt the Services

Founders Circle Terms

Founders Circle Membership

The Founders Circle is a limited founding member program (100 spots) with special benefits and lifetime access.

Subscription Terms

Billing Cycles

Subscriptions are billed:

  • Monthly or annually, depending on your selected plan
  • In advance at the start of each billing period
  • Automatically unless you cancel

Auto-Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel before the renewal date. You will be charged the then-current subscription rate.

Cancellation

You may cancel your subscription at any time:

  • Cancellations take effect at the end of the current billing period
  • No refunds for partial months or unused service
  • You retain access until the end of your paid period

Price Changes

We reserve the right to change subscription prices with 30 days' notice. Price changes will not affect your current billing period.

Acceptable Use Policy

Strictly Prohibited

The following activities will result in immediate account termination:

  • Spam: Sending unsolicited bulk communications
  • Fraud: Deceptive practices, scams, or phishing
  • Illegal Content: Any illegal, harmful, or threatening content
  • Harassment: Abusive, threatening, or harassing communications
  • Recording Without Consent: Recording calls without proper consent (violates TCPA)
  • System Abuse: Attempting to hack, DoS attack, or exploit our systems

Call Recording Consent

You are responsible for complying with all applicable laws regarding call recording, including:

  • Obtaining proper consent from all parties
  • Playing consent notifications where required
  • Complying with two-party consent laws (e.g., California, Florida)

Intellectual Property

Our Ownership

AIVA Connect owns all intellectual property rights in:

  • The platform, software, and services
  • Our branding, logos, and trademarks
  • Documentation and training materials
  • AI models and algorithms

Your Ownership

You retain all rights to:

  • Your business name, branding, and content
  • Call recordings and transcripts
  • Customer data you upload

License Grant

You grant us a limited license to use your content solely for providing the Services, including AI training (unless you opt-out).

AI and Call Data

AI Training

We may use call transcripts and recordings to train and improve our AI models. You can opt-out of AI training in your account settings.

Call Recording Requirements

You must comply with all applicable laws, including:

  • Telephone Consumer Protection Act (TCPA)
  • State wiretapping laws
  • One-party and two-party consent requirements

Transcript Accuracy

AI transcriptions may contain errors. We do not guarantee 100% accuracy and are not liable for transcript inaccuracies.

Liability and Disclaimers

IMPORTANT: Please read this section carefully as it limits our liability.

Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We are not liable for service interruptions due to:

  • Third-party service outages (Twilio, AWS, etc.)
  • Maintenance and upgrades
  • Force majeure events

AI Accuracy Disclaimer

Our AI is provided "as is" without warranty. We do not guarantee:

  • 100% transcription accuracy
  • Correct interpretation of caller intent
  • Error-free call routing

Limitation of Liability

To the maximum extent permitted by law, AIVA Connect shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Damages exceeding the amount you paid us in the past 12 months

Termination

Your Right to Terminate

You may terminate your account at any time by:

  • Canceling your subscription in account settings
  • Emailing support@connectaiva.com

Our Right to Terminate

We may suspend or terminate your account if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Fail to pay fees
  • Create security risks

Data Deletion

Upon termination:

  • You have 30 days to export your data
  • After 30 days, we will delete your account data
  • Some data may be retained for legal compliance

Dispute Resolution

Arbitration Agreement

Any disputes arising from these Terms shall be resolved through binding arbitration, except:

  • Small claims court disputes
  • Intellectual property claims

Governing Law

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict of law principles.

Class Action Waiver

You agree to bring claims only in your individual capacity, and not as part of a class action.

Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Updating the "Last Updated" date
  • Sending you an email notification (for significant changes)

Continued use of the Services after changes are posted constitutes acceptance of the updated Terms.
